Terms & Conditions

Last updated 28 October 2026

These Terms & Conditions ("Terms") govern your use of Apex for WooCommerce ("Apex", the "Service"), a hosted dashboard for managing WooCommerce stores, operated by Design2Code (Pty) Ltd ("we", "us", "our"). By creating an account, starting a trial or subscribing to a plan, you agree to these Terms, our Refund Policy and our Privacy Policy. If you are accepting on behalf of a business, you confirm you have authority to bind it.

In short: Apex connects to your WooCommerce store using API keys you provide and makes changes to your live store on your instructions. Keep your own backups. Plans are billed monthly in advance, renew automatically, and can be cancelled at any time from the Billing page. Fees are not refunded except as set out in the Refund Policy.

2. Definitions

  • Account: your registered Apex user account.
  • Account owner: the user who holds the subscription and to whom connected stores belong.
  • Team member: a user invited by an account owner to work in the owner's stores.
  • Store: a WooCommerce website you connect to Apex using WooCommerce REST API credentials.
  • Store data: products, variations, categories, tags, images and other content held in your store.
  • Plan: the subscription tier you select, as described on our pricing page.

3. Your account

  • You must give accurate registration details and verify your email address before using the Service.
  • The Service is intended for businesses and individuals managing their own or their clients' online stores. You must be at least 18 years old.
  • You are responsible for keeping your password confidential and for all activity under your Account. Tell us immediately at info@apexstorefront.co.za if you suspect unauthorised access.

4. Free trial

  • New accounts receive a 14-day free trial with the limits of the Store plan. No payment card is required.
  • The trial ends automatically. You will not be charged unless you choose to subscribe to a paid plan.
  • When the trial ends without a subscription, access to the dashboard is restricted until you subscribe. Your connected store itself is not affected.
  • We may change or withdraw the trial offer for new accounts at any time, and may refuse a further trial to anyone who has already had one.

5. Plans, fees and billing

  • Plans, prices and limits are as shown on our pricing page and on the Billing page in the app when you subscribe.
  • Subscriptions are billed monthly in advance and renew automatically each month until cancelled.
  • Payments are processed by PayFast (Payfast (Pty) Ltd). We do not see or store your card or bank details.
  • Prices are set in US dollars (USD), but PayFast charges in South African Rand (ZAR). When you subscribe, the USD price is converted at that day's exchange rate, and the rand amount is shown on the PayFast checkout page before you confirm. That rand amount stays fixed for your monthly renewals, so the USD equivalent may vary slightly as exchange rates move. If you pay with a non-rand card, your bank may apply its own exchange rate or fees.
  • If exchange rates move significantly, we may adjust your recurring rand amount to match the USD price. We treat this as a price change and give you notice as described below.
  • We may change our prices. We will give you at least 30 days' notice by email before a price change applies to your subscription, and you may cancel before it takes effect.
  • Changing to a different plan starts a new monthly subscription at that plan's price from the day you switch, and your previous subscription is cancelled automatically. Fees already paid for the previous plan are not refunded pro rata. If you are charged again for the plan you left, that charge is refunded in line with the Refund Policy.

6. Plan limits

Each plan limits the number of connected stores, the number of products per store and the number of team members. Apex enforces these limits. For example, product creation and CSV imports stop at your plan's product limit. Exceeding a limit through other means (such as adding products directly in WordPress) does not breach these Terms, but some Apex features may be unavailable until you upgrade or reduce usage.

7. Cancellation and failed payments

  • You can cancel at any time from the Billing page. Cancellation stops future charges.
  • After cancelling, you keep access until the end of the billing period you have already paid for. Access then ends automatically.
  • If a recurring payment fails or is reversed, access to paid features ends immediately until a successful payment is made.
  • Fees already paid are not refunded on cancellation, except as set out in the Refund Policy.

8. Teams

Account owners may invite team members up to their plan's seat limit. Team members can access and change the owner's connected stores. The account owner is responsible for who they invite, for removing members who should no longer have access, and for all actions team members take in the Service.

9. Connecting your store

  • To connect a store you provide WooCommerce REST API keys. You confirm you own the store or are authorised by its owner to grant this access.
  • Your API keys are stored encrypted and used only to perform the actions you or your team members request in the Service.
  • Apex reads and writes your products live through the WooCommerce REST API. We do not keep a copy of your product catalogue, except temporarily where described in our Privacy Policy (for example, backup exports you request).
  • You can revoke Apex's access at any time by deleting the store in Apex or revoking the API key in WooCommerce.
  • Image uploads are temporarily hosted by Apex so your store can download them, then deleted.

10. Your store data and backups

Apex makes real changes to your live store, including bulk edits, CSV imports, backup restores, moving products to the trash and permanent deletion. Some of these actions cannot be undone.

  • You are solely responsible for the content of your store and for the actions you and your team members take through Apex.
  • You are responsible for keeping regular, independent backups of your WordPress site and database. Apex's JSON backup export is a convenience and is not a substitute for a full site backup.
  • You retain all rights in your store data. You grant us a limited licence to access and process it only as needed to provide the Service.

11. Acceptable use

You must not:

  • connect a store you are not authorised to manage, or use the Service for unlawful products or content;
  • attempt to gain unauthorised access to the Service, other accounts or other stores;
  • interfere with, overload or attempt to bypass rate limits, plan limits or security controls;
  • reverse engineer, resell or sublicense the Service, except that agencies may use it to manage their clients' stores;
  • create accounts by automated means or create multiple accounts to obtain repeated free trials.

12. Third-party services

The Service depends on systems we do not control, including WordPress, WooCommerce, your web host, and PayFast. We are not responsible for their availability, changes to their APIs, or limits they impose. Apex limits how fast it sends requests to your store, so large operations may take time. WooCommerce is a trademark of Automattic Inc. Apex is not affiliated with or endorsed by Automattic.

13. Availability and support

We aim to keep the Service available and to fix problems promptly, but we do not guarantee uninterrupted or error-free operation. We may carry out maintenance and change or remove features. Support is provided by email at info@apexstorefront.co.za, with priority for Agency plan customers.

14. Intellectual property

We own the Service, its software, design and branding. These Terms give you a non-exclusive, non-transferable right to use the Service during your subscription or trial. Any feedback you give us may be used to improve the Service without obligation to you.

15. Disclaimer

To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose. This does not affect any guarantee or right that cannot be excluded under the Consumer Protection Act 68 of 2008 or other applicable law.

16. Limitation of liability

  • We are not liable for any indirect, incidental, special or consequential loss, including loss of profit, revenue, sales, data or goodwill, or for loss caused by changes made to your store through the Service on your or your team's instructions.
  • Our total liability arising from or relating to the Service in any 12-month period is limited to the fees you paid us in the three months before the event giving rise to the claim.
  • Nothing in these Terms limits liability for fraud, for gross negligence, or for anything else that cannot lawfully be limited.

17. Indemnity

You indemnify us against claims by third parties (including the owner of a store you connect) arising from your breach of these Terms, your store's content, or your connection of a store you were not authorised to manage.

18. Suspension and termination

  • We may suspend or close an Account that materially breaches these Terms, fails to pay, or puts the Service or other users at risk. Where reasonable, we will warn you first.
  • You may stop using the Service at any time and delete your Account from your Profile page. Deleting your Account removes your connected stores and their stored API keys. See the Privacy Policy for what we keep and for how long.
  • Clauses that by their nature should survive termination (including 10, 15, 16, 17 and 20) continue to apply.

19. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or in the app at least 14 days before they take effect. If you keep using the Service after that date, you accept the updated Terms. If you do not agree, cancel your subscription before the changes take effect.

20. Governing law and disputes

These Terms are governed by the laws of the Republic of South Africa. Please contact us first so we can try to resolve any dispute informally. If it cannot be resolved within 30 days, either party may refer it to a South African court with jurisdiction. If you are a consumer, you may also approach the National Consumer Commission or an accredited ombud.

21. Electronic communications and general terms

  • You agree that we may communicate with you electronically, and that electronic notices meet any requirement for written notice.
  • If any provision of these Terms is unenforceable, the rest remains in effect.
  • These Terms, the Refund Policy and the Privacy Policy are the entire agreement between us about the Service.
  • You may not transfer your Account or these Terms without our consent.
